Terms of Service

1. Acceptance of Terms

By accessing or using SceneForge (“the Service”), operated at sceneforge.studio, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Service Description

SceneForge is an AI-powered product scene generation tool. You upload product images, provide text prompts, and our Service uses Google’s Gemini AI model (Nano Banana 2) on Vertex AI to generate photorealistic scene images. The Service includes iterative refinement, session history, and an AI Prompt Builder.

3. Accounts

Accounts are created and managed through Clerk (our authentication provider). You may sign in with email verification or Google Sign-In. You agree to provide accurate information and are responsible for all activity under your account. One account per person — creating multiple accounts to circumvent usage limits is prohibited.

4. Subscriptions and Payment

• Paid plans (Starter, Pro, Business) are billed monthly or annually through Stripe.
• Subscriptions auto-renew at the end of each billing cycle unless cancelled.
• You may upgrade, downgrade, or cancel at any time through the Billing portal.
• Plan changes take effect at the next billing cycle. Downgrades do not result in partial refunds.
• Generation limits reset monthly. Unused generations do not roll over to the next billing period. For example, if your plan includes 300 generations per month and you use 100, the remaining 200 expire at the end of the month — your balance resets to 300, not 500.
• Failed payments. If your payment fails, your account will be downgraded to the Free plan immediately. You will need to resubscribe to restore your paid plan and its limits.
• We reserve the right to change pricing with 30 days’ notice.

5. No Refunds

All fees are non-refundable except as required by applicable law. This includes monthly and annual subscription fees.

• If you cancel your subscription, you retain access until the end of your current billing period. No partial refunds are issued.
• Billing errors or unauthorized charges may be disputed by contacting hello@sceneforge.studio within 30 days of the charge.
• EU/UK users: By using the Service after purchase, you expressly consent to the immediate provision of digital content and acknowledge that you lose your right of withdrawal under the Consumer Rights Directive (2011/83/EU).

6. Content Ownership

Your Uploaded Content

You retain full ownership of all images you upload to SceneForge. We do not claim any rights to your uploaded content. Uploaded images are processed solely to generate your requested output and are not used for any other purpose.

Generated Output

You own the images generated by SceneForge to the fullest extent possible under applicable law. You may use generated images for any personal or commercial purpose, including product listings, marketing materials, social media, and print advertising. This applies to all plan tiers, including free.

We do not guarantee that generated images are unique. Other users providing similar inputs may receive similar outputs.

7. Prohibited Uses

You agree not to use SceneForge to:

• Generate child sexual abuse material (CSAM) or any content depicting minors in sexual or exploitative contexts
• Create non-consensual intimate imagery, deepfakes, or impersonation content
• Generate content that promotes violence, terrorism, or extremism
• Create content intended to harass, bully, threaten, or intimidate any person
• Generate content that infringes on the intellectual property rights of others
• Attempt to circumvent, disable, or bypass the safety filters and guardrails built into Google’s AI models
• Use generated outputs to develop, train, or improve competing AI models or services
• Reverse engineer, decompile, or attempt to extract the underlying AI model or its parameters
• Use the Service for any activity that violates applicable law
• Create multiple accounts to circumvent usage limits or bans

You must also comply with Google’s Generative AI Prohibited Use Policy, which applies to all content generated through SceneForge.

8. AI Disclaimers

• SceneForge uses Google’s AI models to generate images. We do not control the model’s output and do not guarantee the quality, accuracy, appropriateness, or uniqueness of any generated content.
• The AI may occasionally produce unexpected, inaccurate, or undesirable results. You are responsible for reviewing all generated content before use.
• SceneForge is not responsible for how you use generated images downstream, including any legal consequences of publishing or distributing generated content.
• Generated images contain a SynthID digital watermark embedded by Google to identify AI-generated content.

9. Intellectual Property

The SceneForge brand, logo, website design, user interface, and underlying code are the intellectual property of SceneForge. You may not copy, modify, distribute, or create derivative works of the Service without our written permission.

10. Copyright Complaints (DMCA)

If you believe content generated through SceneForge infringes your copyright, you may submit a DMCA takedown notice to our designated agent:

Your notice must include: (1) identification of the copyrighted work, (2) identification of the infringing content, (3) your contact information, (4) a statement of good faith belief, and (5) a statement under penalty of perjury that the information is accurate.

11. Warranty Disclaimer

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCENEFORGE’S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE TOTAL FEES YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL SCENEFORGE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13. Indemnification

You agree to indemnify, defend, and hold harmless SceneForge and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from: (a) your use of the Service, (b) your uploaded content or generated output, (c) your violation of these Terms, or (d) your violation of any third-party rights.

14. Termination

We may suspend or terminate your account at any time if you violate these Terms, engage in prohibited uses, or for any other reason at our sole discretion. Upon termination, your right to use the Service ceases immediately. We may delete your account data, uploaded content, and generated images.

You may cancel your account and subscription at any time. Cancellation takes effect at the end of your current billing period.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Any dispute arising from or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in English and the seat of arbitration shall be Wilmington, Delaware.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

16. Changes to These Terms

We may modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on our website at least 30 days before the changes take effect. Your continued use of SceneForge after the effective date constitutes acceptance of the updated Terms.
